Performance Contract Agreement

THIS CONTRACT for the personal services of POWERAGE on the engagement described below made this 1st day of January, 2005 between the undersigned Purchaser of Music (herein called "Venue") and the five musicians known as POWERAGE. The musicians are engaged severally on the terms and conditions of the face hereof. POWERAGE ENTERPRISES (herein called "Manager") represents that the musicians already designated have agreed to be bound by said terms and conditions. The musicians severally agree to render services under the undersigned Manager.

5. Venue will make payments as follows:

a) Deposit (bank check or money order) in the amount of $ 00.00 payable to the order

of Scott T. no later than A date prior to the performance.

b) Balance of $ 00.00 (bank check or cash) due to Manager prior to the start of

performance.

Additional Terms and Conditions

The agreement of the musicians to perform is subject to proven detention by sickness, accidents, riots, epidemics, acts of God, or any other legitimate reasons beyond their control. No musician will be required to perform any provisions of this contract or to render any services for said Venue if deposit money or deposit date is unpaid or unsatisfied, in whole or in part.

POWERAGE

Contract Rider for January 1, 2005

1) Venue agrees to provide full production facilities (sound, lights, and staging) with operators for said equipment.

2) POWERAGE agrees to provide full backline equipment (guitars, amplifiers, speaker cabinets, and drum kit) for said performance.

3) Venue agrees to provide a MANDATORY sound check prior to the band performance with the participation of the said facilities operators.

4) A clean, well-lit, semi-private dressing room (or dressing area) is to be provided near stage area with a large table, a minimum seven chairs, a sink, a full length mirror, five clean towels, and assorted beverages on ice including soda, juice, beer, and bottled water.

5) Adequate security is to be provided around stage area during POWERAGE's performance.

6) POWERAGE is allowed to sell merchandise at an 80% / 20% split with Venue. The Venue will provide table, chair, and adequate shade (if necessary) for merchandising area.
